在智力成果日益商品化、产品化和国际化的情况下,外贸企业借助商业秘密能在竞争中占据明显优势,取得最大经济利益,因此保护商业秘密已成为世界各国立法的热点问题。我国现行的《劳动法》《反不正当竞争法》《合同法》《刑法》《民法通则》等都从自己部门法的角度出发,对于商业秘密的保护作出了相关的规定,但总体而言,我国对于商业秘密的保护基本上还是原则性的,可控性、可操作并不强,行业自律性差。因此,我们要在完善相关立法的前提下,结合国内的实际情况,提高保护商业秘密的意识,建立健全商业秘密保护体系。

The paper analyzed the importance of enterprises strengthening the management of business secrets,and expounded the connotations of business secrets and their form elements.It focused on the analysis of the reasons why domestic enterprises suffered heavy losses because of the losses of business secrets under the condition of fierce talents competition and incomplete state policies and regulations.Finally it put forward series of prevention and management measures against the exposure of business secrets in order to completely eradicate the losses of business secrets from the root and accelerate our business secret legislative process,combined with the status quo of our trade secrets prevention.
